These Terms of Service apply to all business relationships between Rullja and its customers regarding the provision of IoT sensors and related software services.
Conflicting or deviating terms and conditions of the customer shall only become part of the contract if we have expressly agreed to their validity in writing.
The contract is concluded by acceptance of our offer or confirmation of your order. Delivery of the product/service constitutes contract fulfillment.
The minimum contract term is 12 months unless otherwise agreed. The contract automatically renews for one year each unless terminated with 3 months' notice before contract end.
All prices are net plus applicable VAT. Payments are due within 14 days of invoice date without deduction.
We accept payments by bank transfer, direct debit, and other payment methods upon request.
For late payments, we reserve the right to charge default interest of 8 percentage points above the base rate.
Our liability is limited to foreseeable, contract-typical damages.
For slight negligence, we are only liable for breach of essential contractual obligations. Liability for indirect damages and lost profits is excluded.
Liability under Product Liability Act and for damages from injury to life, body or health remains unaffected.
Processing of personal data is carried out in accordance with the General Data Protection Regulation (GDPR) and applicable data protection laws.

Both parties may terminate the contract with 3 months' notice to the end of the minimum contract term or renewal period.
Termination without notice is possible for important cause, particularly in case of material breach of contractual obligations.
German law applies exclusively, excluding the UN Sales Convention.
The place of jurisdiction for all disputes is Rullja's registered office, provided the customer is a merchant.
Should individual provisions of these Terms be invalid, the validity of the remaining provisions shall remain unaffected.
